Terms of Use

1. Agreement and App Store terms

These Terms of Use (“Terms”) are an agreement between you and Minbi (“Minbi,” “we,” “us,” or “our”). They apply to your use of the Minbi app, share extension, website, and related features.

By downloading, accessing, or using Minbi, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Minbi.

2. About Minbi

Minbi helps you save and organize notes, links, photos, checklists, voice notes, reminders, boards, and related personal material. Some features require a compatible Apple device, a supported operating system, iCloud, internet access, permissions, an Apple Music subscription, downloaded speech models, or Minbi Pro.

Minbi is a personal organization tool, not a guaranteed archival, emergency, medical, legal, financial, or safety service. Keep separate copies of information that is critical or irreplaceable, and do not rely on a notification as your only safeguard for an important deadline.

3. Eligibility

You must be legally able to enter into these Terms. If you are under the age of legal majority where you live, a parent or legal guardian must authorize your use. Minbi is not directed to children under 13, or a higher minimum age where local law requires it.

4. Your content and responsibilities

You retain your rights in content you save in Minbi. You give Minbi only the limited permission needed to process that content on your device and through features you choose, such as iCloud sync, link previews, sharing, and Apple services.

You are responsible for your content and your use of Minbi. You agree not to:

• use Minbi in a way that violates law or the rights of another person;
• save, share, or distribute content unless you have the right to do so;
• attempt to disrupt, bypass, probe, or misuse Minbi or related services;
• reverse engineer or modify the app except where applicable law expressly permits it; or
• use Minbi to distribute malware, harass others, or facilitate harmful or fraudulent activity.

You are responsible for keeping your device, passcode, and Apple Account secure and for maintaining any backups appropriate to you.

5. Apple and third-party services

Minbi can interact with services provided by Apple, Google, GitHub, and websites you choose to save or open. These may include iCloud, CloudKit, App Store and StoreKit, Apple Music, on-device speech technologies, Firebase Analytics, and web link previews.

Your use of a third-party service is also subject to that provider’s terms and policies. We do not control third-party content, availability, or practices and are not responsible for them to the extent permitted by law. You must comply with applicable third-party agreements when using Minbi.

6. Minbi Pro purchases and subscriptions

Minbi may offer free features as well as Minbi Pro through an annual auto-renewing subscription and a one-time lifetime purchase. The exact features, local price, currency, taxes, and any offer eligibility are shown in the App Store purchase screen before you confirm a purchase.

Annual subscription

The annual plan renews automatically unless you cancel it. Payment is charged to your Apple Account when you confirm. Apple may charge for a renewal within 24 hours before the current period ends. You can manage or cancel the subscription in your Apple Account subscription settings. Cancel at least 24 hours before the end of a free or discounted trial if you do not want it to renew.

Free trial

Eligible new subscribers may receive a seven-day free trial of the annual plan. Eligibility is determined by Apple. Unless canceled, the trial converts to the paid annual subscription at the price shown when you started it.

Lifetime purchase

Lifetime Pro is a one-time in-app purchase that unlocks the Pro features offered for that product for as long as we make a compatible version of Minbi available. “Lifetime” refers to the lifetime of the Minbi product, not the lifetime of any individual person or device. It does not promise every future separate product or service.

Billing, cancellation, and refunds

Apple processes all billing. Deleting Minbi does not cancel an active subscription. Cancellation takes effect at the end of the current paid period, and you generally keep access until then. Refund requests are handled by Apple under App Store rules and applicable law. You can restore eligible purchases from Minbi.

7. Availability, changes, and updates

We may improve, add, change, suspend, or remove features. We may also release updates needed for compatibility, security, or continued use. Features may differ by device, region, language, operating system, or third-party service availability.

We aim to keep Minbi reliable but do not promise uninterrupted or error-free availability. Internet, iCloud, App Store, Apple Music, website, and operating-system outages can affect features outside our control.

8. Minbi ownership

Minbi, including its app, website, name, artwork, design, text, and software, is owned by us or our licensors and is protected by intellectual-property laws. Except for the rights granted under the Apple Standard EULA and applicable law, no right or license is granted.

If you send feedback or suggestions, you allow us to use them without restriction or compensation, but you keep ownership of any rights you already hold in that feedback.

9. Support

We are responsible for Minbi support; Apple has no obligation to provide maintenance or support for the app. Contact support@minbi.app and include enough detail for us to understand the issue. Do not send sensitive content unless it is necessary for your request.

10. Disclaimers

To the maximum extent permitted by applicable law, Minbi and its features are provided “as is” and “as available.” We disclaim implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. We do not warrant that content will never be lost or that every reminder, transcription, search result, link preview, sync, or third-party service will be complete, accurate, or available.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded. Warranty matters relating to the App Store license are also addressed by the Apple Standard EULA.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, revenue, business, opportunity, or goodwill, arising from or related to Minbi or your inability to use it.

Where liability cannot be excluded, our total liability for claims relating to Minbi will not exceed the greater of US$50 or the amount you paid for Minbi during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law, including to liability that cannot be limited under consumer-protection law.

12. Ending use

You may stop using Minbi at any time. You can delete content, remove the app, and separately cancel an active subscription through Apple. We may suspend access to features we control if you materially violate these Terms, create security risk, or use Minbi unlawfully, subject to applicable law. Sections that by their nature should survive will survive the end of your use.

13. Changes to these Terms

We may update these Terms to reflect changes to Minbi, law, or our practices. We will post the updated version here and change the effective date. If a change is material, we will provide additional notice where required. Continued use after an updated version takes effect means you accept it, except where law requires another form of consent.

14. Applicable law and disputes

These Terms are governed by the laws that apply to the operator of Minbi, without regard to conflict-of-law principles, except that the mandatory consumer-protection laws and courts of your usual place of residence remain available where applicable. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a formal claim, please contact us and give us a reasonable opportunity to resolve the issue informally. App Store license disputes remain subject to the Apple Standard EULA.

15. General

If part of these Terms is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent, except where law permits. We may transfer them in connection with a reorganization, merger, acquisition, or sale of Minbi. These Terms, the Privacy Policy, and the Apple Standard EULA form the applicable agreement concerning your use of Minbi.
